2. Client Responsibilities

As a client, you agree to:

  • Provide accurate business details, objectives, and access to required platforms (e.g., domain registrar, CRM, ad accounts)

  • Approve or provide content (text, images, videos) on time

  • Ensure all materials submitted do not infringe on third-party rights or violate applicable laws

  • Respond to our requests in a timely manner to avoid project delays

You are solely responsible for legal compliance related to your products or services.

3. Performance Disclaimer (Marketing Services)

While we strive to deliver results through digital campaigns, we do not guarantee specific outcomes such as:

  • Page #1 Google rankings

  • A specific number of leads or sales

  • A fixed ROI (Return on Investment)

Marketing performance depends on several factors including market conditions, competition, ad spend, audience behavior, and your own product/service offering.

4. Use of Advertising Platforms

We may use third-party advertising platforms like Google Ads, Meta (Facebook/Instagram), LinkedIn Ads, etc. for your campaigns.

  • You authorize us to manage or access your ad accounts.

  • You are responsible for the ad spend unless otherwise stated.

  • We do not control platform policies; campaigns may be suspended or restricted by those platforms for reasons outside our control.

5. Intellectual Property

Unless otherwise agreed:

  • You retain ownership of content you provide.

  • We retain ownership of any custom code, designs, or strategies we create unless explicitly transferred in writing.

  • You may not reuse, resell, or distribute our work without permission.

6. Payment Terms

  • Payments must be made according to the invoice terms.

  • Late payments may incur interest, service suspension, or project delays.

  • Marketing retainers, if applicable, must be paid monthly in advance.

  • No refunds will be issued once work has begun, unless stated in a separate agreement.

7. Confidentiality

Both parties agree to maintain the confidentiality of all business information, trade secrets, strategies, and data shared during the course of the engagement.

We may recommend or integrate third-party services (e.g., CRM tools, analytics platforms, plugins). We are not liable for errors, security issues, or costs associated with those services.

9. Termination of Services

Either party may terminate the engagement with a written notice (usually 15-30 days, as per agreement).

Upon termination:

  • All pending invoices must be cleared

  • Access to deliverables and platforms may be revoked

  • We are not obligated to maintain backups or data beyond the service period

To the fullest extent permitted by law, Fintech Wheels shall not be liable for any:

  • Indirect, incidental, or consequential damages

  • Loss of business, revenue, or data

  • Delays due to third-party failures, force majeure, or client-side issues

12. Governing Law

These Terms are governed by the laws of India, and any disputes shall be resolved under the jurisdiction of courts located in New Delhi, unless otherwise agreed in writing.
